Voluntary Liquidation in India: A Practical Guide to Corporate Compliance with B. Samrish & Co.

Closing a company can be just as complicated as establishing one. Outstanding liabilities, shareholder approvals, regulatory filings and asset distribution all require careful consideration. Even a business that has stopped operating may continue to have legal obligations.

For business owners exploring Voluntary Liquidation, understanding the process is essential to achieving an orderly and legally compliant closure.

B. Samrish & Co., a firm of practising Company Secretaries with offices in Delhi and Bengaluru, provides corporate compliance advisory services covering company closure, foreign investment structures and regulatory matters in India.

What Is Voluntary Liquidation?

Voluntary Liquidation is a formal process through which an eligible solvent company or other corporate person winds up its affairs, settles liabilities, distributes remaining assets and seeks dissolution.

In India, the process is governed by Section 59 of the Insolvency and Bankruptcy Code, 2016, alongside the IBBI (Voluntary Liquidation Process) Regulations, 2017.

A company must satisfy the relevant conditions, including the requirement that it has not committed a default and can meet its debts in full.

The regulatory framework was further amended in June 2026, making current procedural compliance especially important.

Why Is Voluntary Liquidation Important?

Businesses may decide to close because a project has ended, strategic priorities have changed or an existing corporate structure is no longer required.

A properly managed liquidation offers an organised way to conclude financial and legal obligations.

Key Benefits

Structured closure: Provides a recognised process for winding up business affairs.
Creditor protection: Requires liabilities and creditor claims to be addressed.
Asset distribution: Establishes procedures for distributing remaining proceeds.
Regulatory compliance: Supports proper reporting and documentation.
Corporate certainty: Allows eligible entities to seek a formal dissolution order.

For example, a foreign-owned Indian subsidiary that has completed its original project may consider liquidation when it no longer requires its Indian corporate structure.

How Does the Voluntary Liquidation Process Work?

The process involves several important stages.

1. Declaration of Solvency

The majority of directors must make the required declaration after examining the company's financial position.

Supporting documentation includes prescribed financial records and other applicable information.

2. Shareholder Approval

Members approve the liquidation through the required resolution and appoint an eligible insolvency professional as liquidator.

Creditor approval may also be required where the company owes debts.

3. Settlement and Distribution

The liquidator invites claims, verifies liabilities, realises assets where necessary and distributes proceeds according to applicable legal requirements.

4. Final Dissolution

Following completion of the prescribed process, an application is made to the National Company Law Tribunal for dissolution.

External Commercial Borrowings and Corporate Compliance

Foreign financing considerations

External Commercial Borrowings (ECB) allow eligible Indian entities to obtain commercial financing from recognised non-resident lenders, subject to applicable foreign exchange regulations.

Businesses using overseas funding must consider borrower eligibility, permitted end uses, maturity requirements, reporting obligations and repayment arrangements.

For example, an Indian subsidiary with outstanding foreign borrowings cannot simply proceed with company closure without addressing those obligations.

B. Samrish & Co. offers ECB-related advisory services, including guidance on regulatory requirements and foreign borrowing structures.

Because RBI rules have undergone changes, businesses should verify the latest applicable ECB framework rather than relying on historical borrowing limits or conditions.

Setting Up a Liaison Office in India

Foreign companies considering market entry may establish a liaison office in india instead of immediately incorporating a subsidiary.

A liaison office generally acts as a communication channel between its overseas parent company and Indian businesses.

Permitted activities may include promoting business relationships, facilitating collaborations and gathering market information.

However, a liaison office cannot undertake income-generating commercial, trading or industrial activities in India.

B. Samrish & Co. provides advisory services for liaison office and branch office establishment, including applicable approvals and compliance requirements.

Important Factors Before Choosing Voluntary Liquidation

Before initiating Voluntary Liquidation, directors should assess:

Financial solvency: Confirm the company's ability to settle all liabilities.
Outstanding obligations: Review creditors, taxes, employee dues and contractual commitments.
Asset ownership: Identify investments, property and remaining cash balances.
Regulatory filings: Check pending corporate, tax and foreign exchange compliance.
Alternative closure methods: Determine whether strike-off or liquidation is more appropriate.

Professional assessment helps businesses select a legally suitable closure route.

Common Mistakes to Avoid

One common mistake is treating voluntary liquidation and company strike-off as interchangeable procedures.

Strike-off under Section 248 of the Companies Act, 2013 follows different eligibility requirements.

Other mistakes include overlooking foreign liabilities, maintaining incomplete accounting records and distributing assets before addressing creditor claims.

Where cross-border transactions are involved, FEMA compliance must also be considered.

Expert Tips and Future Regulatory Trends

Before beginning liquidation, organise financial statements, statutory registers, tax records and major contractual documents.

Identify potential regulatory issues early and consult qualified professionals before passing formal resolutions.

India's corporate compliance environment is increasingly focused on transparent disclosures, standardised filings and stronger procedural oversight.

The IBBI's 2026 regulatory updates reinforce the importance of following current requirements rather than relying on outdated compliance checklists.
